Terms of Service

1.Introduction
These Terms of Service (“Terms”) govern your access to and use of the Bookodile platform and any related services (collectively, the “Service”), operated by Specific Technologies Inc., a company incorporated in the State of Delaware, USA (“we”, “us”, or “the Company”).
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.
2.Eligibility
You must be at least 18 years old or the age of majority in your jurisdiction to use the Service. By creating an account, you represent and warrant that you meet this requirement.
3.The Service
Bookodile is an online booking platform that enables businesses to accept and manage reservations from their customers. The Service includes:
- Online booking calendar
- Customer and staff management
- Automated email notifications
- Public booking page
- Analytics and reporting
We reserve the right to modify, suspend, or discontinue any part of the Service at our sole discretion, with or without notice.
4.Account
To use the Service, you must create an account with a valid email address. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information and to keep it up to date.
5.Acceptable Use
You agree not to:
- Use the Service for any illegal or unauthorized purpose
- Attempt to reverse engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or redistribute access to the Service without our written consent
- Interfere with or disrupt the integrity or performance of the Service
- Upload or transmit any malicious code, viruses, or harmful content
- Violate the rights of others, including intellectual property or privacy rights
We may suspend or terminate your account if you violate these restrictions.
6.Pricing and Payment
The Service is currently available without subscription fees. If we introduce paid features or billing in the future, pricing will be published on our pricing page with reasonable prior notice before charges apply.
All fees are non-refundable except where required by applicable law. You are responsible for any applicable taxes associated with your use of the Service.
7.Cancellation and Termination
You may cancel your account at any time. Upon cancellation, your data will be deleted within 30 days unless we are required by law to retain it longer.
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately.
8.Intellectual Property
All rights, title, and interest in and to the Service — including its software, design, content, and trademarks — are and remain the exclusive property of the Company.
You retain ownership of any data you submit to the Service. By using the Service, you grant us a limited, non-exclusive license to process your data solely to provide and improve the Service.
9.Data Processing & Privacy
When you use Bookodile to manage bookings, you act as the data controller for your customers' personal data under applicable data protection laws (including the EU General Data Protection Regulation). Specific Technologies Inc. acts as a data processor on your behalf, processing customer data solely to provide the Service in accordance with Article 28 GDPR.
By using the Service, you agree to the following data processing terms, which serve as the Data Processing Agreement (DPA) between you and Specific Technologies Inc.:
- We process your customers' data only on your documented instructions and solely to provide the Service.
- We implement appropriate technical and organizational security measures to protect personal data.
- We do not sell, share, or use customer data for our own purposes beyond providing the Service.
- We assist you in fulfilling data subject requests (access, correction, deletion) upon request.
- We notify you without undue delay if we become aware of a personal data breach.
- We engage sub-processors only with your general authorization; the current list is available in our Privacy Policy.
As the data controller, you are responsible for obtaining proper consent from your customers where required, providing them with a privacy notice, and complying with applicable data protection laws. Bookodile provides tools (such as GDPR consent checkboxes) to help you meet these obligations, but compliance ultimately remains your responsibility.
10.Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
11.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
We are not liable for any failure or delay caused by events beyond our reasonable control, including but not limited to natural disasters, power outages, internet disruptions, or government actions.
12.Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service or your violation of these Terms.
13.Changes to Terms
We reserve the right to modify these Terms at any time. When we make changes, we will update the effective date at the top of this page and notify you via email or an in-app notice. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.
14.General Provisions
- If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
- Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
- We may assign our rights and obligations under these Terms without your consent. You may not assign yours without our prior written consent.
15.Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware.
